1. Acceptance of Terms

By accessing or using ManageSite ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These terms apply to all users, including organization administrators, team members, and subcontractor portal users.

2. Description of Service

ManageSite provides a cloud-based construction management platform including project management, document management, daily logging, financial tracking, and related tools. The Service is offered on a subscription basis as described on our pricing page.

3. Accounts and Access

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate and complete information when creating an account. Organization administrators are responsible for managing user access within their organization.

4. Subscription and Billing

• Subscriptions are billed monthly or annually, depending on your selected plan
• All plans include unlimited users at no additional per-seat cost
• A 30-day free trial is available for new organizations
• You may cancel your subscription at any time; access continues until the end of the billing period
• Refunds are handled on a case-by-case basis — contact support for assistance

5. Your Data

You retain all ownership rights to the data you upload or create in the Service. We do not claim ownership of your content. You grant us a limited license to host, process, and display your data solely for the purpose of providing the Service. You may export your data at any time using the built-in export tools.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to the Service or its systems
• Interfere with or disrupt the Service or its infrastructure
• Upload malicious code, viruses, or harmful content
• Resell or redistribute the Service without authorization

7. Service Availability

We strive to maintain 99.9% uptime for the Service. However, we do not guarantee uninterrupted access. Scheduled maintenance windows will be communicated in advance. We are not liable for downtime caused by circumstances beyond our reasonable control.

8. Limitation of Liability

To the maximum extent permitted by law, ManageSite shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

9. Termination

We may suspend or terminate your access to the Service if you violate these Terms. Upon termination, your right to use the Service ceases immediately. You may request a data export before your account is deleted.

10. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
